§1 Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the website located at republicinvestment.example and any related services, content, and tools (collectively, the "Site"), which are operated by Republic Investment Group and its affiliates (collectively, "Republic," "we," "us," or "our").

By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.

§2 No Offer or Solicitation

The Site is provided solely for informational purposes. Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any security or investment product.

Any offer or solicitation of an investment in a Republic-managed fund will be made only by means of confidential offering documents (including a private placement memorandum, limited partnership agreement, and subscription documents) provided exclusively to qualified accredited investors and qualified institutional buyers under applicable securities laws, including Regulation D promulgated under the Securities Act of 1933.

The information on the Site is not directed to, and is not intended for distribution to or use by, any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation.

§3 Eligibility

The Site is intended for individuals who are at least 18 years old (or the age of majority in their jurisdiction) and have the legal capacity to enter into binding agreements. Certain portions of the Site, including investor materials and the offering documents referenced above, are restricted to accredited investors as defined under Rule 501(a) of Regulation D and to qualified non-U.S. persons under applicable local law.

By submitting an investor access request through the Site, you represent and warrant that the information you provide is accurate and complete and that you meet the eligibility criteria for the services or materials you seek to access.

§4 Permitted Use

Subject to your compliance with these Terms, Republic grants you a limited, non-exclusive, non-transferable, revocable license to access and view the publicly available portions of the Site for your personal, non-commercial use.

§5 Prohibited Conduct

You may not, and you may not allow any third party to:

  • Use the Site for any unlawful purpose or in violation of any applicable law, regulation, or these Terms
  • Reproduce, duplicate, copy, sell, resell, or otherwise exploit any portion of the Site without our express written consent
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Site
  • Use any robot, spider, scraper, or automated means to access the Site
  • Interfere with the security or integrity of the Site or its underlying systems
  • Attempt to gain unauthorized access to any account or system on the Site
  • Submit false, misleading, or fraudulent information through any form or interface on the Site
  • Use the Site to transmit malware, spam, or any harmful or unlawful content
  • Frame, mirror, or otherwise incorporate the Site into another website without our prior written consent

All content on the Site, including text, graphics, logos, images, audio clips, data compilations, software, and the design and arrangement thereof, is the property of Republic, its affiliates, or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

"Republic Investment Group," the Republic logo, and other Republic marks are trademarks or service marks of Republic. Other trademarks used on the Site are the property of their respective owners. Nothing on the Site grants you any license to use any of these marks.

§7 Third-Party Content and Links

The Site may contain links to or content from third-party websites or resources. Republic does not endorse and is not responsible for the availability, content, accuracy, or practices of any third-party site. Your use of any third-party site is at your sole risk and subject to the terms and privacy policies of that site.

§8 Forward-Looking Statements

The Site may contain statements that constitute "forward-looking statements," including projections, forecasts, estimates of returns, and statements about future events or performance. These statements involve known and unknown risks, uncertainties, and assumptions, and actual results may differ materially. Republic undertakes no obligation to update any forward-looking statement.

Past performance is not indicative of future results. Any references to investment performance reflect realized and unrealized results across the firm's funds; individual investor returns will vary based on timing, fees, and fund-specific terms.

§9 Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REPUBLIC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

Republic does not warrant that the Site will be available at all times, free of viruses or harmful components, or that any information on the Site is current or accurate.

§10 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL REPUBLIC, ITS AFFILIATES, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE SITE, EVEN IF REPUBLIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

§11 Indemnification

You agree to indemnify, defend, and hold harmless Republic and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Site; (b) your breach of these Terms; or (c) your violation of any law or the rights of any third party.

§12 Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Site will be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict-of-laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of those courts. To the maximum extent permitted by law, you waive any right to a trial by jury and any right to participate as a representative or member of any class action.

Note for counsel Republic may wish to consider mandatory arbitration provisions (e.g., AAA or JAMS), class action waivers, or alternative venue selections depending on its preferred enforcement posture and the jurisdictions of its investor base.

§13 General Provisions

13.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Republic regarding the Site and supersede any prior agreements or understandings.

13.2 Changes to Terms

Republic may modify these Terms at any time by posting the revised Terms on the Site and updating the "Last Updated" date. Your continued use of the Site after such changes constitutes your acceptance of the revised Terms.

13.3 Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.

13.4 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

13.5 Assignment

You may not assign or transfer these Terms without our prior written consent. Republic may assign these Terms without restriction.
